Terms of Service

§1. General Provisions

These Terms of Service govern the use of the Talk&Buy platform available at talknbuy.com (hereinafter: the "Platform"), operated by EYE TEA SP. Z O. O. with its registered office in Gdańsk, ul. Zawodzie 20, 80-726 Gdańsk, Poland, Tax ID: 5833437404 (hereinafter: the "Provider").

The Talk&Buy Platform is a SaaS (Software as a Service) solution that enables creating and running online stores with a built-in live chat system.

By using the Platform, you accept these Terms of Service.

§2. Definitions

User — a natural person conducting business activity, a legal entity, or an organizational unit that uses the Platform under a selected plan.

Store — an online store created by the User through the Platform.

Plan — a service package selected by the User that determines the scope of features and limits.

End Customer — a person visiting the User's Store and making purchases.

§3. Scope of Services

The Platform provides the following features depending on the selected plan:

— Live chat with end customers — Online store available in 23 languages — Product catalog system with categories — Inventory management system — Integration with electronic payment systems (499 PLN plan) — Integration with courier companies (499 PLN plan)

§4. Registration and Account

To use the Platform, the User creates an account by providing accurate information.

The User is responsible for maintaining the confidentiality of their account credentials.

The Provider reserves the right to refuse registration or block an account in case of a violation of these Terms.

§5. Plans and Payments

The Platform offers two plans:

Very small stores: 199 PLN net per month (up to 100 products) — Larger stores: 499 PLN net per month (up to 10,000 products)

Prices are stated in Polish zloty (PLN) and are net prices. VAT is added in accordance with applicable regulations.

The fee for using the Platform is charged monthly in advance.

The Provider reserves the right to change prices with a 30-day notice period. Price changes do not affect already paid billing periods.

§6. User Obligations

The User agrees to:

— Use the Platform in compliance with the law and these Terms — Not publish content in the Store that is unlawful, infringes third-party rights, or violates common decency — Pay fees for using the Platform on time — Ensure that products and services offered in the Store comply with applicable regulations

The User bears full responsibility for content published in their Store and for transactions with end customers.

§7. Provider Obligations

The Provider agrees to:

— Ensure Platform availability, subject to technical and maintenance breaks — Protect User data in accordance with applicable regulations — Inform the User of planned maintenance breaks with adequate notice

The Provider is not liable for interruptions in Platform operation caused by force majeure, telecommunications infrastructure failures beyond the Provider's control, or actions of third parties.

§8. Personal Data Protection

The data controller of Users' personal data is EYE TEA SP. Z O. O.

Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (GDPR) and applicable data protection laws.

User personal data is processed for the purpose of providing services on the Platform, billing, and contacting the User.

The User has the right to access, rectify, delete, restrict processing, and port their data. To exercise these rights, please contact the Provider at: store@talknbuy.com.

§9. Intellectual Property

The Talk&Buy Platform, including its source code, graphics, logo, and documentation, is the intellectual property of the Provider.

The User does not acquire any intellectual property rights to the Platform. The license granted covers only the right to use the Platform within the scope of the selected plan.

Content placed by the User in the Store (product descriptions, images, etc.) remains the property of the User.

§10. Termination

The agreement is terminated if the User fails to make payment for the next billing period. Non-payment is considered equivalent to resignation from using the Platform.

The Provider may terminate the agreement with immediate effect in case of a serious violation of these Terms by the User.

After termination, User Store data will be retained for 30 days, allowing the User to return and resume using the Platform. After this period, the data will be permanently deleted.

§11. Liability

The Provider is not liable for:

— Damages resulting from improper use of the Platform by the User — Content published by the User in the Store — Transactions between the User and end customers — Data loss caused by circumstances beyond the Provider's control

The Provider's liability is limited to the value of fees paid by the User in the last 3 months.

§12. Complaints

Complaints regarding the Platform should be submitted via email to store@talknbuy.com.

A complaint should include: User details, a description of the issue, and the expected resolution.

The Provider will process complaints within 14 business days of receipt.

§13. Changes to the Terms

The Provider reserves the right to amend these Terms of Service.

Users will be notified of changes via email at least 14 days in advance.

Continued use of the Platform after the changes take effect constitutes acceptance of the updated Terms.

§14. Final Provisions

Matters not regulated by these Terms shall be governed by Polish law.

Any disputes arising from the use of the Platform shall be resolved by the court having jurisdiction over the Provider's registered office.
